These Terms of Use govern your access to and use of sellwasabi.com (the "Site"), operated by Wasabi Commerce LLC ("Sell Wasabi", "we", "us", "our"), a limited liability company registered in Wyoming, United States.
By using the Site you agree to these Terms. If you do not agree, do not use the Site.
We act as a commercial intermediary. We work with owners of e-commerce and direct-to-consumer businesses to help them prepare their business for sale, and we introduce them to parties who may be interested in acquiring it.
Our role is limited to introduction, coordination and commercial support. We do not:
We are not licensed, registered or certified by any regulatory or professional body, and we do not hold ourselves out as being so. Where a transaction requires licensed or regulated advice, you must obtain it from an appropriately qualified professional. We will not provide it and you should not rely on us for it.
Our work is limited to the introduction and coordination of asset purchase transactions involving digital and intangible business assets, such as domain names, websites, storefronts and marketplace accounts, brand and intellectual property, customer and subscriber lists, supplier relationships, content, software, and associated goodwill.
We do not work on transactions involving real property, land, buildings, or the sale, transfer or assignment of any lease or other interest in real property. We do not work on the sale, transfer or placement of shares, equity, membership interests, securities, or any instrument that constitutes a security. If a proposed transaction develops in any of those directions, our involvement in that element ends and you must instruct an appropriately licensed professional.
Where we use words such as "broker", "brokerage" or "advisor" in our marketing or correspondence, they describe our commercial function in ordinary language only. They are not a claim to any licence, registration or regulated status.
The Site is an information and enquiry tool. Nothing on it constitutes an offer to buy or sell any business, security, or asset, or a solicitation of any such offer.
Submitting a form, requesting a valuation, or corresponding with us through the Site does not create a broker-client relationship, an agency relationship, or any fiduciary duty.
A relationship arises only when we and you sign a written engagement agreement setting out its scope, its term, and our fees. Until that point we are under no obligation to act for you, and you are under no obligation to instruct us.

The sale of a business depends on buyer demand, market conditions, the accuracy and completeness of the information provided by the seller, the outcome of due diligence, financing availability, and many other factors that are outside our control. A business may take longer to sell than expected, may sell for materially less than any indicative figure, or may not sell at all.
Any case study, past result, testimonial, figure or example shown on the Site or in our marketing describes a specific past transaction under specific circumstances. It is not typical, not a prediction, and not a guarantee of what you will achieve. Your result will differ.
You should not enter into any engagement with us, or make any business or financial decision, in reliance on an expectation of a particular outcome.
You agree that any information you submit is accurate and complete to the best of your knowledge, and that you have the right to provide it.
You agree not to submit information that infringes the rights of a third party, breaches a confidentiality obligation you owe to someone else, or that you are not permitted to disclose.
We handle information you provide in accordance with our Privacy Policy. Where a signed non-disclosure agreement is in place between us, that agreement governs confidential information in addition to these Terms.
We treat information about your business as commercially sensitive and handle it with care. We do not publish or publicly disclose the identity or financial details of businesses that enquire with us.
Where you engage us to introduce your business to potential acquirers, disclosure to those parties is a necessary part of the service you have asked us to provide. We take reasonable and customary precautions in doing so, which may include presenting the opportunity on an anonymised basis in the first instance and seeking confidentiality undertakings from interested parties where we consider it appropriate. The precautions we apply are a matter for our commercial judgement and will vary with the circumstances.
We do not guarantee that any third party will honour a confidentiality undertaking, and we are not responsible for the acts or omissions of any prospective buyer or other third party. If you require a specific confidentiality process, it must be agreed with us in writing in your engagement agreement, and that agreement will govern.
Nothing in this section prevents us from disclosing information where required by law or where necessary to establish, exercise or defend legal claims.

The Site and its content, including text, graphics, logos, branding, and the arrangement of them, are owned by us or our licensors and are protected by intellectual property laws.

"Sell Wasabi" and our logo are our trade marks. You may not use them without permission.
The Site uses third-party services, including form and scheduling tools, and may link to third-party websites. We do not control those services and are not responsible for their content, availability, or practices. Your use of them is subject to their own terms.
The Site and its content are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.
We do not warrant that the Site will be error-free or that defects will be corrected.
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profit, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with your use of the Site, however caused.
Our total aggregate liability arising out of or in connection with your use of the Site, on any basis, is limited to one hundred United States dollars (US$100), unless a separate signed agreement between us provides otherwise, in which case that agreement governs.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation.
You agree to indemnify and hold harmless Wasabi Commerce LLC and its members, officers and agents from any claim, loss, liability, cost or expense, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Site, or your submission of information you were not entitled to provide.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules.
Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, and you consent to the jurisdiction of those courts.
If you are a consumer resident in a jurisdiction whose law gives you the benefit of mandatory local protections, nothing in this section removes those protections.
We may update these Terms from time to time. The "last updated" date shows when they were last revised. Your continued use of the Site after a change takes effect means you accept the revised Terms.
If any provision of these Terms is found unenforceable, the remaining provisions continue in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Policy and any signed engagement agreement, form the entire agreement between us in relation to the Site.
